Legal Contract
A legal contract is an agreement or promise between two or more parties that defines the rights and obligations of each with regard to performing or refraining from performing one or more specified acts, including exchange for consideration-i.e. a payment or other promise. A properly designed legal contract protects companies, their employees, their assets, and their interests by ensuring that the considerations that are laid out are enforceable by law. Should a party not fulfill its legal obligation, the other party(s) may petition the courts for relief.
There are specific criteria that determine whether a legal contract may be considered valid, binding, and enforceable, the main one being that all parties indicate their non-coerced agreement to its terms. Additionally, the legal contract may not contain any immoral or criminal elements or violate public policy, and a legal contract is typically only considered enforceable if it specifies some exchange for consideration. Finally, in order to comply with the Statute of Frauds, most legal contracts must be in writing.
While the general structure of a legal contract is straightforward, oftentimes when applied in a business setting, it takes on elements of complexity. Even something as seemingly clear-cut as whether there is agreement between parties may be challenged if the method of signifying agreement is not unambiguous.
In the event that a legal contract is breached, the court may impose different remedies and penalties. In business and industrial law, the usual recourse is monetary damages or restitution to the injured party(s). The court may also grant an injunction which prohibits a party or parties from engaging in some specific action.
