Consulting Contract
A consulting contract is a legal agreement that establishes the specific rights, obligations, and extent of services that govern the relationship between a Consultant and a Client. A consultant, in their capacity as a professional expert, acts in an advisory capacity to users and/or technical staff in all aspects of the computer industry-including hardware and circuitry design, information systems analysis, and software development. Consultants may also be brought in to draw up specifications to be used in coordination with both internal and external business associates. A software development agreement, web site development contract, and web design contract, when employed between a client and consultant, constitute different types of consulting contracts.
In some situations, a consultant is employed when a client requires expertise in a particular domain for a specific and temporary time period. In others, clients employ consultants as a means of augmenting their core employee base with skilled and experienced staff during the implementation of a major project. With such a varied range of accountability roles, a consulting contract is essential in order to define what responsibilities a consultant is charged with.
The ContractEdge Consulting Services Agreement, available as part of the Technical Services Consulting Suite, is a comprehensive, universal consulting contract that explicitly defines the responsibilities and limits of responsibility a consultant or consultancy firm has. This consulting contract should be used for any and all consultant-client service engagements.
The ContractEdge consulting contract, developed by attorneys who specialize in Information Technology law, identifies the type and extent of work, sets limits on consultant responsibilities, and sets the terms of price and payment. It also protects intellectual property rights, confidential information, and prohibits clients from hiring away employees or independent contractors. Additionally, the consulting contract limits consultant losses for work performed and limits liabilities in the event the client suffers losses due to consultant-related errors or omissions.
